The Following terms and conditions govern the sale of all products and services by THE SELLER (Network Alliance Computer Systems Inc.), Such terms and conditions are binding and supersede the terms and conditions on any purchase order submitted to The Seller. The Seller reserve the right to change its terms and conditions from time to time without notice.
Delivery; Delivery shall be made in accordance with the seller’s shipping policy in effect on the date of shipment. Title to, and all risk of loss or damage with respect to the products shall pass to buyer upon delivery by seller to the courier or buyer’s representative at sellers warehouse. Delivery is subject to the payment provisions set forth herein and to sellers receipt from buyer of all necessary information and documentation. The buyer shall promptly notify the seller no later than three business days from invoice date of any claimed shortages or rejection. As to any delivery such notice shall be in writing and shall be reasonably detailed stating the grounds for any such rejection. Failure to find any such notice within such time shall be deemed an acceptance in full of any such delivery seller shall not be liable for any shipment delays beyond the reasonable control of seller which affect seller or any of seller suppliers arising from any cause whatsoever. if any product is received in error, please notify The Seller as soon as possible, the Customer is responsible to inspect all shipping packages for damages caused during shipment. Damaged boxes and shipping containers should be checked in the presence of the courier. Severely damaged packages must be refused. THE SELLER. Shall not be held accountable for delays in delivery and installation, if, due to factors beyond The Seller control. All stated delivery and installation dates are approximate and THE SELLER shall, under no circumstances, be liable for damages whether general, special or consequential or otherwise for failure to meet these dates. Shipping and delivery dates are estimated and approximate. If any shipment is delayed by any cause, The Seller shall not be responsible. The Seller has the right to ship or deliver goods in one or more shipments. Each shipment or delivery shall be deemed a separate sale and the buyer shall accept and pay for each such shipment.
Taxes; Buyer shall bear all applicable federal, provincial, municipal and other government taxes, as well as import or customs duties, license fees and similar charges, however designated, levied on this sale or the products and services. The Buyer agrees that if any government regulation or ruling causes the imposition of tax or duties not cover by the terms and conditions of this agreement the purchaser will reimburse THE SELLER accordingly. Exemption certificates must be presented prior to shipment if they are to be honored.
Returns; All returns are subject to the manufacturer return policies with a valid return authorization number obtained directly from the manufacturer by the buyer. Returned items are subject to a restocking fee of 25%. Product must be kept in resellable condition and unopened. Instructions on returning items will be sent upon application. All opened software is not returnable.
Payments and Credit; The purchaser shall assume all risks of loss or damages to the equipment upon installation. The purchaser agrees that the title to the equipment remains with THE SELLER. Until paid in full. Pricing is for cash discounted transactions. Credit cards are only accepted at the time of order or purchase. Credit card service charges of 3% are applied to all credit card transactions. 2% monthly charged on Overdue Accounts(24% Per Annum) . A $35 administration fee will be charged for all returned cheques.
General; The seller does not ensure and or guarantee any product prior, existing or future compatibility with any other product sold by the seller.
Usage; All goods delivered to buyer hereunder are for internal business purposes only, and shall not be resold.
Warranty; The seller can not warrant or act as an agent for any product sold. All warranty claims are handled directly by the manufacturer service agents or customer service representatives. Requests by the purchaser to provide warranty service during non-normal working hours may be subject to charge based on over time labor rates. The seller shall not be obligated to repair or replace any item of equipment, which has been repaired, adjusted or altered by others, abused, misused, or accidentally damaged.
Limitation of Liability; THE SELLER shall not be liable for any general, special, or consequential damages or for loss Profits, damage or expense directly or indirectly arising from the design supply, installation or interruption of use of the equipment, or for any other cause.
